What happened: a six-year inquiry, ended in a major fine
On 28 May 2018, the French digital-rights non-profit La Quadrature du Net filed a collective complaint with the French Commission Nationale de l'Informatique et des Libertés (CNIL). The complaint ultimately proceeded before the Irish DPC on behalf of 8,540 LinkedIn users. The complaint targeted what the group called the "GAFAM business model" — the bundling of platform access with mandatory acceptance of behavioural analysis and targeted advertising. The Quadrature complaint specifically attacked pre-ticked consent boxes, terms-of-service clauses asserting that continued use of the platform constituted acceptance of data processing, and the absence of a genuine choice for users who wanted to use the service without being profiled for advertising.
Because LinkedIn's European headquarters sit in Dublin, the CNIL referred the complaint to the Irish Data Protection Commission under the one-stop-shop mechanism of Article 56 GDPR. The Irish DPC became the lead supervisory authority for the inquiry. The investigation ran for over six years. On 22 October 2024, the Commissioners for Data Protection — Dr Des Hogan and Dale Sunderland — notified LinkedIn Ireland of a final decision. The DPC announced it publicly on 24 October 2024. The decision included a reprimand under Article 58(2)(b) GDPR, three administrative fines totalling €310 million under Articles 58(2)(i) and 83 GDPR, and an order under Article 58(2)(d) GDPR requiring LinkedIn to bring its processing into compliance.
Before finalisation, the DPC submitted a draft decision to the GDPR cooperation mechanism under Article 60 GDPR in July 2024. The cooperation procedure exists to give other supervisory authorities — those whose data subjects are also affected — the opportunity to raise reasoned objections to a lead authority's draft. No objections were raised. The absence of objections means no concerned supervisory authority triggered Article 65 dispute resolution; it should not be overstated as a formal EDPB endorsement of the amount.
How a single 2018 complaint reshaped EU advertising law
The Quadrature du Net complaint was not filed in isolation. On 28 May 2018, three days after GDPR took effect on 25 May 2018, La Quadrature du Net filed five coordinated collective complaints with the CNIL — against Facebook (now Meta), Google, Apple, Amazon, and LinkedIn — signed by approximately 12,000 people. Each complaint targeted the same architectural problem: the bundling of platform access with mandatory acceptance of behavioural processing, the use of pre-ticked or implied-consent mechanisms, and the absence of a genuine refusal pathway. The strategy was deliberate. By launching all five complaints at the very start of the GDPR era, La Quadrature du Net created a coordinated test case for the regulation's consent and lawful-basis architecture as applied to the dominant business model of the consumer internet.
The early outcomes of those parallel complaints traced the legal landscape that would eventually reach LinkedIn. The CNIL fined Google €50 million in January 2019 — the first major GDPR fine on a Big Tech platform — for lawful-basis and transparency failures in personalised advertising. The Irish DPC fined Meta €390 million in January 2023 (€210 million for Facebook, €180 million for Instagram) on the same Article 6 contractual-necessity argument that LinkedIn would later try and fail to defend. The DPC fined Meta a further €1.2 billion in May 2023 over cross-border data transfers. Each decision tightened the legal interpretation. By the time the Irish DPC issued its LinkedIn decision in October 2024, CJEU case law and regulatory decisions had already narrowed the Article 6 route: contractual necessity does not cover behavioural advertising on a social-networking platform, and consent must be genuinely granular and freely given. LinkedIn's case was a further application of that line, not a standalone first.
For organisations watching from outside the platform sector, the practical takeaway is that the legal questions are no longer open. The Court of Justice of the European Union, in its 4 July 2023 judgment in Meta Platforms v Bundeskartellamt (Case C-252/21), already confirmed that "necessary for the performance of the contract" under Article 6(1)(b) must be interpreted strictly, that the controller has the burden of demonstrating necessity, and that personalisation for the purpose of advertising revenue is not contractual necessity. The CJEU has thus closed the door that LinkedIn and others had tried to keep open. The LinkedIn decision applies that closure.
The decision: four articles, three rejected legal bases
The DPC inquiry examined a single workflow — LinkedIn's processing of member personal data for behavioural analysis and targeted advertising — against the full machinery of GDPR principles, lawful basis, and transparency. The inquiry found infringements of four articles — Articles 5(1)(a), 6(1), 13(1)(c), and 14(1)(c) of the GDPR. In a preliminary-issues judgment delivered on 20 April 2026 in LinkedIn's challenge, the Irish High Court determined that section 142 of the Data Protection Act 2018 limits that statutory appeal route to the decision to impose the fine itself; the underlying infringement findings are not appealable through section 142 and remain operative while the wider litigation continues.
Article 5(1)(a) — the lawfulness, fairness, and transparency principle
Article 5 sets out the foundational principles of GDPR. Article 5(1)(a) requires that personal data be "processed lawfully, fairly and in a transparent manner in relation to the data subject". The DPC found that LinkedIn's behavioural-advertising pipeline failed each of these three sub-principles. Lawfulness failed because no Article 6 ground supported the processing. Transparency failed because the privacy notice did not adequately disclose the legal grounds being relied upon. Fairness failed because users were not given a genuine ability to understand or refuse the processing. The DPC quotation captures the principle directly: "The lawfulness of processing is a fundamental aspect of data protection law and the processing of personal data without an appropriate legal basis is a clear and serious violation of a data subject's fundamental right to data protection."
Article 6(1) — none of the three legal bases applied
Article 6(1) requires controllers to identify a lawful basis before processing. LinkedIn cited three: consent (Article 6(1)(a)), contractual necessity (Article 6(1)(b)), and legitimate interests (Article 6(1)(f)). The DPC examined each and rejected each.
On consent (Article 6(1)(a)): the DPC applied the standard from Article 4(11) GDPR — consent must be "freely given, specific, informed and unambiguous" — and found LinkedIn's mechanism failed all four prongs. Users were not given a clear, granular choice between using the platform with behavioural advertising and using it without. The consent flow bundled multiple processing purposes together. The disclosure did not specifically tell users which legal basis was being asserted for which processing activity. Active opt-in was missing for behavioural analysis. The conclusion: consent could not, in law, validate the processing.
On contractual necessity (Article 6(1)(b)): the DPC followed the European Data Protection Board's 2019 guidelines on Article 6(1)(b) in the context of online services. Behavioural advertising is not "necessary" for the performance of a social-networking contract; it is, at most, a commercial choice the provider has made about how to fund the service. A user can use LinkedIn for its core purpose — networking, job search, content — without being profiled for advertising. Necessity fails.
On legitimate interests (Article 6(1)(f)): the DPC applied the three-step legitimate-interests balancing test — identify the interest, assess necessity, weigh against data-subject rights and freedoms. LinkedIn's commercial interest in behavioural-advertising revenue is legitimate at the first step. The DPC concluded, however, that the processing was not strictly necessary to that interest (less-intrusive means exist, including contextual advertising) and that on balance the impact on data-subject rights — including the right to data protection under Article 8 of the EU Charter of Fundamental Rights — outweighed the controller's interest. Legitimate interests fails the balancing test.
Articles 13(1)(c) and 14(1)(c) — the transparency duty was not met
Articles 13 and 14 require controllers to provide specific information to data subjects at the point of collection. Sub-paragraph (1)(c) of each requires disclosure of "the purposes of the processing for which the personal data are intended as well as the legal basis for the processing". The DPC found that LinkedIn's privacy notice did not adequately disclose, in respect of behavioural analysis and targeted advertising, which Article 6 legal basis was being relied upon for which specific purpose. A privacy notice that says "we may process your data on the basis of consent, contract, or legitimate interest" without telling the user which is which fails Article 13/14(1)(c). The transparency duty is granular: per purpose, per legal basis, in plain language.
LinkedIn's response, the appeal, and where it stands now
LinkedIn issued a brief official statement on 24 October 2024: "Today the Irish Data Protection Commission (IDPC) reached a final decision on claims from 2018 about some of our digital advertising efforts in the EU. While we believe we have been in compliance with the General Data Protection Regulation (GDPR), we are working to ensure our ad practices meet this decision by the IDPC's deadline." The statement did not concede any infringement and did not announce specific changes.
LinkedIn then opened two parallel legal tracks. On 18 November 2024, it filed a statutory appeal under sections 142 and 150 of the Irish Data Protection Act 2018. On 16 December 2024, Ms Justice Mary Rose Gearty in the Irish High Court granted LinkedIn leave to seek judicial review. LinkedIn's legal grounds, as filed, include constitutional challenges to the 2018 Act, arguments that the €310 million fine is "criminal or penal in nature" by virtue of its magnitude and therefore triggers fair-trial protections under the Charter of Fundamental Rights and the European Convention on Human Rights, and procedural challenges to the DPC's decision-making process. LinkedIn has also argued that "the DPC is not an independent and impartial tribunal within the meaning of the charter".
The DPC delivered its statement of opposition on 25 February 2025. The Irish State delivered its statement of opposition on 18 March 2025. On 20 April 2026, the High Court determined preliminary issues — notably ruling that section 142 of the 2018 Act permits an appeal only against the decision to impose a fine, not against the underlying findings of infringement or against the exercise of other corrective powers such as the order to bring processing into compliance. The substantive GDPR findings stand while the appeal proceeds. For organisations watching this case for compliance lessons, the appeal is litigation around magnitude and procedure — not a challenge to the substantive analysis of consent, lawful basis, and transparency.
What LinkedIn could have done differently — the heart of the case
The DPC's decision is not a technical curiosity about a regulator and a Big Tech defendant. It is a methodical demonstration of how a behavioural-advertising pipeline can fail every single Article 6 ground simultaneously, and what a compliant alternative would have looked like. Every organisation that runs behavioural advertising — including B2B SaaS companies that deploy account-based-marketing scoring, e-commerce retailers that personalise product recommendations, and publishers that monetise through targeted display — is exposed to the same analysis. Four layers of prevention would have changed the outcome.
Layer 1 — The specific consent-architecture flaw
LinkedIn's consent flow, in the DPC's analysis, presented users with a take-it-or-leave-it dynamic. The disclosure of legal bases was generic — "consent, contract, or legitimate interest" — rather than granular per processing purpose. Affirmative opt-in for behavioural analysis was absent; the platform relied on a continued-use logic. There was no equally-prominent "Reject All" alternative to "Accept All" at the consent-collection interface. None of these design choices is unique to LinkedIn. They were the industry-standard pattern in 2018 and remained common at the time of the inquiry. The DPC's point is that the GDPR has, since 25 May 2018, required something different, and the industry standard does not become legal merely because it is widespread.
Layer 2 — The technical control that would have prevented it
A compliant alternative is well-defined. A granular Consent Management Platform (CMP) with separate, equally-prominent opt-in toggles for each distinct processing purpose — profile data display, behavioural inference, targeted advertising, third-party data combination — would satisfy the specificity prong of Article 4(11). A working "Reject All" pathway at the same visual prominence as "Accept All" addresses the "freely given" prong. Defaulting every behavioural-analysis toggle to OFF, with explicit affirmative opt-in required, addresses the "unambiguous" prong. A per-purpose consent log retrievable on data-subject request, time-stamped and versioned against the disclosure shown at the moment of consent, addresses the "informed" prong. None of this is exotic engineering. Open-source CMP frameworks support all of it; the major commercial CMP vendors all advertise these capabilities. The cost of implementing a compliant CMP for an organisation of LinkedIn's size sits between €500,000 and €2 million in implementation plus annual operating cost. The cost for an SME implementing the same architecture sits between €5,000 and €50,000.
Layer 3 — The organisational control that would have caught it
A Data Protection Impact Assessment under Article 35 GDPR is mandatory before deploying high-risk processing — and behavioural advertising at scale is, on any reasonable reading, high-risk processing involving systematic monitoring of data subjects within the meaning of Article 35(3)(b). A DPIA conducted before deployment, signed off by the Data Protection Officer, and reviewed against the Article 6 lawful-basis analysis purpose-by-purpose, would have surfaced the consent-architecture flaw. A documented quarterly review of consent-quality metrics — opt-in rate by purpose, reject rate, withdrawal rate, complaint volume — would have escalated the issue to executive level long before a regulator opened an inquiry. A clear DPO sign-off on the privacy notice, against a checklist of Article 13/14(1)(c) requirements, would have caught the generic "consent, contract, or legitimate interest" formulation. Each of these controls is standard governance hygiene under any mature GDPR programme.
Layer 4 — Cost vs fine: the math sells the case
The DPC imposed €310 million in administrative fines, which remain subject to LinkedIn's appeal, and LinkedIn also faces the cost of bringing its processing into compliance under the DPC's order. The prevention cost — a compliant CMP, a DPIA process, ongoing consent-quality auditing, DPO time on the privacy notice — would have sat between €500,000 and €2 million for an organisation of LinkedIn's size. The ratio is roughly 150 to 600 times the prevention cost. For an SME, the proportions are different but the logic is identical: prevention typically runs €5,000 to €50,000; comparable fines in the SME tier (where DPAs scale penalties to undertaking size) commonly run €100,000 to €2 million. The math is overwhelming in every tier. The question for any compliance officer is not whether prevention is worth the investment but whether the organisation will move before or after the regulator does.

Industry lesson: who else is exposed today
The LinkedIn decision is one of the largest advertising-related GDPR fines the Irish DPC has issued, but it is not an isolated event. It belongs to a clear enforcement pattern that has accelerated since 2022, in which the Irish DPC and other lead supervisory authorities have systematically dismantled the legal-basis claims of platforms running behavioural advertising. Meta's January 2023 fines (€210 million for Facebook, €180 million for Instagram, for similar lawful-basis failures on personalised advertising), TikTok's €345 million fine in September 2023 (for children's data and transparency), and Uber's €290 million fine in August 2024 from the Dutch Data Protection Authority (for unlawful transfers of driver data to the United States under Chapter V GDPR) all sit in the same arc. The LinkedIn decision is the latest data point, not the first.
The exposure is not confined to social-media platforms or Big Tech. Three categories of organisation are most at risk of replicating LinkedIn's legal posture. First, B2B SaaS companies that deploy account-based-marketing platforms, behavioural-scoring systems, or lead-prioritisation models. The lawful-basis analysis is identical: if you profile EU-based natural persons (decision-makers within target accounts), you need a clean Article 6 ground for the profiling, not just for the underlying CRM record. Second, e-commerce retailers that personalise recommendations, dynamic pricing, or retargeting using on-site behaviour combined with third-party data. Third, publishers and media organisations that monetise through programmatic advertising — the IAB Europe ruling of the Belgian DPA (2 February 2022) and the consequent CJEU judgment in IAB Europe v Gegevensbeschermingsautoriteit (Case C-604/22, 7 March 2024) already established that the Transparency and Consent Framework signal is personal data, that IAB Europe is a joint controller for it, and that consent collected through a TCF banner alone may not satisfy GDPR if any of the four prongs is missing. Every publisher running TCF should treat the LinkedIn decision as a warning that the regulator's patience has run out.
The cookie-banner connection: TCF, IAB Europe, and dark-pattern enforcement
LinkedIn's consent architecture is part of a larger problem the EU has been systematically dismantling. The Belgian Data Protection Authority's February 2022 ruling against IAB Europe — the trade association behind the Transparency and Consent Framework (TCF), the technical infrastructure used by most European publishers and ad-tech vendors — found that the TCF signal itself constitutes personal data, that IAB Europe is a joint controller for the consent string generated through TCF banners, and that the consent collected through TCF mechanisms in their then-current form did not satisfy GDPR. The CJEU upheld and refined this position in IAB Europe v Gegevensbeschermingsautoriteit (Case C-604/22, 7 March 2024), confirming that a TCF consent string is personal data within the meaning of GDPR Article 4(1) and that joint controllership can arise from defining a standardised processing framework even without direct access to the data.
The European Data Protection Board's Guidelines 3/2022 on "Deceptive Design Patterns in Social Media Platform Interfaces" (adopted March 2022, final version published in February 2023) set out, with worked examples, the design choices that constitute dark patterns prohibited by GDPR. Consent flows that visually de-emphasise the refusal option, require additional clicks to refuse, use language that frames refusal negatively, or pre-tick boxes are all flagged. The EDPB's 2024 Opinion 08/2024 on "consent or pay" models added another data point, stressing that users must be offered a real choice rather than being pushed into behavioural tracking as the practical default. The trend across these decisions is consistent: regulators are no longer willing to accept consent flows that exist primarily to extract opt-ins. The standard is genuine, granular, freely given consent — or no processing at all.
For organisations operating cookie banners or in-product consent flows, the LinkedIn decision should be read alongside the EDPB cookie banner taskforce report (January 2023, on cookie-specific consent practice) and the EDPB Guidelines 3/2022 on deceptive design patterns (adopted March 2022). The combined message is operational: an organisation that has not redesigned its consent architecture against this body of guidance is exposed to enforcement, and the regulators have now demonstrated that the fines reach into the hundreds of millions for the largest violators and into the hundreds of thousands for mid-tier organisations.
The forward look: the AI Act's second compliance regime arrives 2 August 2026
Behavioural advertising is, at the technical level, automated profiling. From 2 August 2026, the EU Artificial Intelligence Act applies to a defined category of AI systems and overlays additional duties on top of the GDPR. Where a system used in advertising falls under Annex III of the AI Act — particularly the categories covering systems used in employment decisions or access to essential services — Article 14 of the AI Act imposes a human-oversight design duty on the provider, Article 26(7) imposes a deployer-side information duty toward natural persons, and Article 86 introduces a right to a clear explanation of the role the AI system played in the decision. Organisations that have not fixed the GDPR consent and lawful-basis layer by 2 August 2026 will be walking into a second regime with different obligations, different actors, and a parallel ceiling of €15 million or 3% of global turnover for high-risk non-conformity. The pragmatic implication is that fixing the GDPR layer now is also the AI Act preparation work. The two regimes overlap on exactly the workflows the LinkedIn decision examined.
Why this case sets a precedent every controller should read
The temptation, reading a decision against a Microsoft-owned global platform, is to file it under "Big Tech problems" and assume the analysis does not reach down to an organisation of 200 employees in Berlin or 50 employees in Ljubljana. That assumption is wrong, and the structure of the DPC's reasoning makes it wrong by design. The DPC did not ground its decision on LinkedIn's size, on its global reach, on its parent company, or on the volume of users affected. It grounded the decision on the legal architecture of consent and lawful basis under GDPR — an architecture that applies uniformly to a controller processing personal data of one EU resident or one hundred million. Every step of the DPC's analysis — the four-prong consent test from Article 4(11), the strict reading of contractual necessity, the three-step legitimate-interests balancing, the granular Article 13/14(1)(c) disclosure requirement — applies to a CRM system in a regional B2B SaaS company exactly as it applies to LinkedIn's global advertising pipeline.
What the size difference changes is the magnitude of the fine, not the existence of the violation. Article 83(2) GDPR lists the factors a supervisory authority must consider when setting the fine — including the nature, gravity, and duration of the infringement, the categories of personal data affected, the controller's degree of cooperation, and "any other aggravating or mitigating factor applicable to the circumstances of the case". For an SME, the same legal violation that produced LinkedIn's €310 million fine would typically produce a fine in the €50,000 to €500,000 range — still material, often existential, always avoidable. For a mid-cap organisation in the €50 million to €500 million annual-turnover band, the analogous fine commonly sits in the €1 million to €10 million range. The fine bands scale; the legal analysis does not. Reading the LinkedIn decision as a manual for what not to do is the correct response regardless of organisational size.
There is one further dimension worth highlighting. The Irish DPC was not a particularly aggressive supervisory authority in the early years of GDPR — between 2018 and 2021 it was widely criticised by privacy advocates and other supervisory authorities for the pace and outcome of its lead-supervisory-authority decisions. The fact that the DPC, now a more assertive regulator, is the authority issuing this €310 million decision against a Microsoft subsidiary is itself a signal. The "soft" lead supervisory authority of 2019 is gone. The regulatory environment in 2024–2026 is materially stricter than the environment in which most current compliance programmes were originally designed. Programmes built on the assumption that the Irish DPC would be lenient with platforms headquartered in Dublin should be reviewed against current enforcement posture, not historical posture.
Self-check: five questions before the regulator asks them
Use this short self-check on your own processing. If any answer is uncertain, the gap is real.
- Can you point, on a per-processing-purpose basis, to the specific Article 6(1) ground (a, b, c, d, e, or f) you rely on — and produce the documented assessment that supports it?
- If you rely on consent: is your consent collection genuinely granular (one toggle per purpose), affirmative opt-in (default OFF, not continued use), with a Reject-All path at equal visual prominence to Accept-All, and a per-purpose log retrievable on data-subject request?
- If you rely on legitimate interests: have you completed and documented a three-step balancing test (interest identification, necessity assessment, balancing against data-subject rights) — and does it survive a less-intrusive-means challenge?
- Does your privacy notice tell each data subject, per purpose, exactly which Article 6 ground you rely on for that purpose — not generic catch-all language?
- Have you conducted and documented a DPIA under Article 35 GDPR for any processing involving systematic profiling or large-scale behavioural analysis of EU natural persons?

The 90-day remediation plan
For an organisation that has read this far and recognised the exposure, here is a 90-day plan calibrated to a mid-size controller with an existing GDPR programme but limited investment in granular consent architecture or behavioural-processing DPIAs. Each phase is bounded by a clear deliverable and a sign-off owner.
Days 1 to 30 — Mapping and gap analysis. Pull every processing activity in the Article 30 record that involves profiling, behavioural inference, personalised marketing, lead scoring, dynamic content, or analytics that crosses the boundary from aggregate to individual. For each activity, document: the specific purpose, the data categories processed, the Article 6 ground claimed, whether a DPIA exists, whether the privacy notice discloses the legal basis per purpose, and whether the consent mechanism (if relied upon) is genuinely granular. The output of this phase is a register with a row per activity and a clear column for each gap. Sign-off owner: the Data Protection Officer.
Days 31 to 60 — Architectural remediation. Replace or reconfigure the Consent Management Platform so that each processing purpose has a separate opt-in toggle, defaults to OFF, and produces a per-purpose consent log retrievable on data-subject request. Add an equally-prominent "Reject All" pathway to every consent-collection interface. Rewrite the privacy notice to disclose, per purpose, the specific Article 6 ground relied upon — in plain language, not legalese. Conduct DPIAs under Article 35 for every processing activity flagged in phase one as systematic profiling or large-scale behavioural analysis. Sign-off owner: the Chief Technology Officer (for CMP) and the DPO (for DPIA and notice).
Days 61 to 90 — Operationalisation and audit. Train customer-facing teams on the new consent flows and on handling data-subject requests that arise from the new disclosure. The LinkedIn decision closes a six-year arc that began with a complaint from a small French digital-rights non-profit and ended with one of the largest advertising-related fines the Irish DPC has issued.
